- What this is. OTCVault ("the Interface") is a website operated by Playmarket ("we") that lets you interact with a set of open-source, non-upgradeable smart contracts deployed on Arbitrum One ("the Protocol"). The Interface is one of many possible ways to interact with the Protocol; the Protocol works without it.
- We are not a party to your deals. Every deal is between you and the counterparty you name. We do not hold, custody, control or have access to deposits in the escrow contract, and we cannot reverse, pause or modify a deal. We do not act as broker, agent, exchange, escrow agent, or fiduciary.
- Eligibility. You must be legally able to enter into these Terms and to hold and transfer the digital assets you use. You are responsible for compliance with the laws of your jurisdiction, including sanctions and securities laws. Do not use the Interface if doing so is unlawful where you are.
- Fees. The Protocol charges a fee on the stablecoin leg of settled deals, currently 0.375% from each party (0.75% total), snapshotted at deal creation and capped at 1.00% by the contract. The token whitelist charges a non-refundable review fee (currently 1,000 USDC) that does not guarantee listing. Network gas fees are paid by you to the network. Third-party interfaces (e.g. Sablier's app) may charge their own fees.
- Whitelist and registry. Inclusion of a token in the whitelist or a stablecoin in the registry is a technical review, not an endorsement, investment recommendation, or guarantee of value, liquidity or legality. We may add or remove tokens at any time; removals do not affect existing deals.
- No advice. Nothing on the Interface is financial, legal, tax or investment advice. Information such as token metadata, bytecode flags and third-party data is provided "as is" and may be incomplete or wrong. Verify independently.
- Your responsibilities. You are solely responsible for your wallet, keys, transactions, the counterparty you choose, the addresses you enter, and confirming a deal. Transactions on the Protocol are irreversible. Settled deals cannot be undone by anyone.
- Prohibited use. You may not use the Interface to launder money, evade sanctions, trade assets you have no right to trade, or interfere with the Interface or Protocol. We may restrict access to the Interface (not the Protocol) at our discretion.
- Disclaimer of warranties. The Interface and Protocol are provided "as is" and "as available" without warranties of any kind. The Protocol has not been externally audited at the date above. Software may contain bugs; blockchains may fail or fork; tokens may lose value.
- Limitation of liability. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of funds, profits, data or goodwill, arising from your use of the Interface or Protocol. Our aggregate liability shall not exceed the greater of USD 100 or the fees you paid to the Protocol in the preceding 12 months.
- Indemnity. You will indemnify us against claims arising from your breach of these Terms or your use of the Interface.
- Changes. We may update these Terms; the "last updated" date changes when we do. Continued use after a change is acceptance.
- Governing law and disputes. Jurisdiction to be set by Playmarket counsel. Disputes are resolved by binding arbitration where permitted.
