Terms of Use

  1. What this is. TrustlessKit, including OTCVault (together "the Interface"), is a website operated by Joni ("we") that lets you interact with a set of open-source, non-upgradeable smart contracts deployed on Arbitrum One, Base, Ethereum and BNB Chain ("the Protocol"): OTCVault, Token Locker, TokenLaunch, Vesting, Bounty Board, Staking and DCA Vault. Token Checker and SafeSend are read-only or wallet-only tools with no contract of their own. The Interface is one of many possible ways to interact with the Protocol; the Protocol works without it.
  2. We are not a party to your transactions. Every deal, lock, sale, stream, bounty, pool or plan is between you and the counterparties you choose. We do not hold, custody, control or have access to deposits in any contract, and we cannot reverse or modify a settled transaction. We do not act as broker, agent, exchange, escrow agent, or fiduciary.
  3. Eligibility. You must be legally able to enter into these Terms and to hold and transfer the digital assets you use. You are responsible for compliance with the laws of your jurisdiction, including sanctions and securities laws. Do not use the Interface if doing so is unlawful where you are.
  4. Fees. Each tool charges the fee shown on its page, read live from the contract at the time you sign; if the fee changes between quote and signature the transaction reverts rather than charging more. Current schedule: OTCVault 0.5% of the stablecoin leg, paid by the seller only at settlement (cap 1.00%); Token Locker $50 flat per lock; TokenLaunch 0.75% of the raise on finalize; Vesting $25 flat per batch; Bounty Board 1% of the reward on approval (cap 3%); Staking a flat fee per pool created (cap 1,000 USDC); DCA Vault 0.15% per execution (cap 1%); Token Checker and SafeSend are free. The OTCVault token whitelist charges a non-refundable review fee (currently 1,000 USDC) that does not guarantee listing. Network gas is paid by you to the network. Third-party interfaces (e.g. Sablier's app) may charge their own fees.
  5. Whitelist, registry and Token Checker. Inclusion of a token in the OTCVault whitelist or a stablecoin in the registry is a technical review, not an endorsement, investment recommendation, or guarantee of value, liquidity or legality. We may add or remove tokens at any time; removals do not affect existing deals. Token Checker output is an automated technical scan of what a contract can do, not a safety rating.
  6. No advice. Nothing on the Interface is financial, legal, tax or investment advice. Information such as token metadata, bytecode flags and third-party data is provided "as is" and may be incomplete or wrong. Verify independently.
  7. Your responsibilities. You are solely responsible for your wallet, keys, transactions, the counterparties you choose, the addresses and schedules you enter, and every confirmation you sign. Transactions on the Protocol are irreversible. Settled deals, finalized sales, created streams, locked tokens and executed DCA tranches cannot be undone by anyone.
  8. Prohibited use. You may not use the Interface to launder money, evade sanctions, trade assets you have no right to trade, or interfere with the Interface or Protocol. We may restrict access to the Interface (not the Protocol) at our discretion.
  9. Disclaimer of warranties. The Interface and Protocol are provided "as is" and "as available" without warranties of any kind. The Protocol has not been externally audited at the date above. Software may contain bugs; blockchains may fail or fork; tokens may lose value.
  10. Limitation of liability. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of funds, profits, data or goodwill, arising from your use of the Interface or Protocol. Our aggregate liability shall not exceed the greater of USD 100 or the fees you paid to the Protocol in the preceding 12 months.
  11. Indemnity. You will indemnify us against claims arising from your breach of these Terms or your use of the Interface.
  12. Contributor Program. The Contributor Program (the bounty table published at /bounties, the Points conversion plan at /points and the staking program at /staking/tls) is an offer to fund specific tasks with $TLS through the Bounty Board, not a promise to any person. Rewards are paid only for work that meets the acceptance criteria of a posted, on-chain bounty and is approved under its verification mode; the choice of applicants is at the funder's discretion until an assignment transaction exists on-chain. Approved rewards are delivered locked, as Vesting streams for the period shown in the table. Contributors act as independent parties: nothing in the Program creates an employment, agency, partnership or fiduciary relationship with us, and contributors are responsible for their own taxes and legal compliance. Points are a non-transferable usage score; any conversion rate is published at season end and is not guaranteed until announced. $TLS has no official market or liquidity pool at the date above; nothing on the Interface values it or promises a listing, a yield or an outcome. Reward ranges for unassigned tasks may change with a new table version; assigned tasks keep the terms in their contract.
  13. Changes. We may update these Terms; the "last updated" date changes when we do. Continued use after a change is acceptance.
  14. Governing law and disputes. Jurisdiction to be set by counsel. Disputes are resolved by binding arbitration where permitted.
